Terms of Service

CIRCUIT 7 LTD ("Mailboard," "we," "us," or "our") provides services to you (the "Subscriber," "you," or "your") under the following Terms of Service. Your use of Mailboard's services signifies your acknowledgment and acceptance of the terms outlined below.

Mailboard reserves the right to modify these terms without prior notice.

Using Our Services

By utilizing our services, you affirm that you are legally capable of entering into a binding contract and are not restricted from receiving such services under applicable laws. To access our services, you must provide accurate identification and contact information during registration. It is your responsibility to maintain the confidentiality of your account information and promptly notify Mailboard of any unauthorized account use or security breaches.

Fees and payment

Payment Terms. Customer will pay to Mailboard, without offset or deduction, all fees due under this Agreement. All payments will be in your local currency, all fees shall be due immediately from the date of Mailboard’s payment and all fees are non-cancelable and non-refundable. All amounts will exclude all applicable sales, use, and other taxes.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Pricing. The Services are offered under different pricing plans, the limits and features of which are available on Mailboard's pricing page. There is a trial subscription to the Services and there are paid self-service subscription plans (“Self-Service Subscriptions”).

Authorization of Recurring Payments. All pricing plans involve recurring fees (each, along with any applicable taxes and other charges). Customers on a monthly payment plan have a set amount of seats in accordance to their plan and will be charged for additional seats at the next monthly renewal date. Customers on an annual plan will be charged for additional seats monthly. This is separate from their annual billing. Additional seats added to Customer’s team will not include a discount. The self-service subscriptions and any additional Services added to your self-service subscription will automatically-renew for the same term as the initial term.

Mailboard’s fees are subject to change, although Mailboard will notify Customer before any change. Customer hereby acknowledges that the Services have recurring payment features and Customer accepts responsibility for all recurring payment obligations. Mailboard (or Paddle) will automatically charge Customer in accordance with the term of their subscription (e.g., each month, quarter, or year).

Fair Use

Customer’s subscription offering will be specified on the applicable Order Form or Mailboard’s pricing page. Mailboard will use commercially reasonable efforts to provide Customer with sufficient bandwidth and storage function that Mailboard determines are typical of projects at Customer’s plan level. Mailboard will notify Customer if their usage is unreasonable, and may shut down and terminate projects and accounts that are creating an unreasonable burden on Mailboard's infrastructure and/or business operations.

Prohibited Usage

You agree not to use Mailboard email system for the transmission or receipt of unwanted, unsolicited, or explicit content, including but not limited to X-rated or adult-oriented material. Any such use that compromises the integrity or intended function of the email system is strictly prohibited and may result in immediate account suspension or termination without notice.

Conduct Guidelines

You are responsible for the actions of all users associated with your account and the data generated through your use of Mailboard. Prohibited activities include any actions that disrupt Mailboard's services or connected networks.

Activities Not Allowed

Prohibited activities encompass intentional misuse of system resources, unauthorized access to other computers or networks, and engagement in illegal or harmful activities. Mailboard services are intended for lawful purposes, and any violation may result in immediate account suspension or cancellation.

Billing And Payments

Mailboard is authorized to charge your credit card in advance for services. Payment is due upon invoicing, and accounts 10 days past due may experience service interruption. Unrecoverable accounts may be referred to an external collection agency.

Account Suspension Or Termination

Mailboard reserves the right to suspend terminate team account for a violation of terms. Efforts will be made to provide notice and minimize service interference

No Warranty

Services and content provided by Mailboard are offered on an "as-is" and "as-available" basis, without warranties expressed or implied.

Liability Limitations

Mailboard, its directors, employees, and partners shall not be liable for indirect, incidental, punitive, or consequential damages, with liability limited to fees paid for services in the preceding one-month period.

Indemnification

Subscribers agree to indemnify Mailboard for any violation of the Terms of Service resulting in loss or claims brought against Mailboard by third parties.

Notices

Mailboard may provide notices through email, regular mail, or postings on its services.

Entire Agreement

The Terms of Service constitute the entire agreement between you and Mailboard, governing your use of Mailboard services, and superseding any prior agreements.

Jurisdiction And Governing Law

These Terms and Conditions will be governed by the laws of the Republic of Cyprus and this Agreement shall be governed and construed in all respects by the laws of the Republic of Cyprus.

The User agrees that any claim or dispute he may have against Mailboard and/or its personnel, must be resolved by the courts of the Republic of Cyprus who has exclusive jurisdiction.

Waiver And Severability

Any failure to enforce a provision of the Terms of Service does not constitute a waiver, and if any provision is found invalid, the remaining provisions remain in effect.

Statute Of Limitations

Claims or actions related to the use of Mailboard services or the Terms of Service must be filed within one year, as specified in the agreement.

Marketing Materials

You agree to Company's use of your logo in its marketing materials.
